Imerys, a world leader in mineral-based specialty solutions for the industry, signed a share purchase agreement on 11 November 2022 for the sale of its high temperature solutions business to Platinum Equity, a global investment firm operating companies in a broad range of markets, for an enterprise value of approximately EUR 930 million. The transaction covers entities in 16 countries worldwide, including the direct sale of Turkish subsidiaries Calderys Refractories and S&B Industrial Minerals, and the indirect sale of Imerys’ stake in Turkish joint venture Haznedar Durer. The transaction is expected to close by the end of 2022, subject to customary closing conditions.
Paksoy is pleased to announce that a team led by partner Stéphanie Beghe Sönmez, together with associates Simge Şengün and Beritan Arık, acted as Turkish counsel to Imerys on this transaction, with Latham & Watkins acting as global counsel.
